Terms of sale and licence

These terms are between you and Nikah AI Ltd trading as Cadencely (company number 17199968, registered in England and Wales, registered office Office 1216, 60 Tottenham Court Road, London W1T 2EW), "we" or "us". They cover the Cadencely software, its free trial, and the subscription you buy on our website, cadencely.legalnikahai.com.
1. Business customers only
Cadencely is sold for use in a trade, business, craft or profession. By starting a trial or buying a subscription you confirm you are acting for those purposes and not as a consumer. If you are a consumer, please do not buy it.
2. The licence
While your trial or paid subscription is current we grant you a non-exclusive, non-transferable licence to install and use Cadencely on computers that you or your organisation control, for your organisation's own marketing and that of clients you manage, up to the number of brands your plan includes (Solo 1, Studio 5, Agency 50). You may not resell, sublicense or redistribute the software, share your licence key outside your organisation, or remove its licence checks. The software is licensed, not sold; we keep all rights in it.
3. Free trial
The software runs for 14 days from its first start without a licence key. No payment details are taken for the trial.
4. Price and payment
Plans are billed monthly in pounds sterling: Solo £19, Studio £39, Agency £99 per month. Nikah AI Ltd is not VAT registered and the price shown is the total you pay. Checkout is hosted by Stripe, and the payment is processed by Onelink, Stripe's reseller (merchant-of-record) service: Onelink takes the card payment when you subscribe and on the same day each month until you cancel, accounts for any sales tax out of the price shown (so the checkout page and receipt show a VAT amount included in the total, never added to it), and issues the receipt. The payment is also subject to Onelink's terms, shown at checkout. The licence to use the software is granted by us under these terms. If a renewal payment fails it is retried; if it still fails, the subscription ends.
AI providers, image and video services, search and SEO data services and social platforms you connect charge you directly under your own accounts with them. Those charges are not part of the subscription and we are not responsible for them.
5. Cancelling and refunds
You can cancel at any time from your licence page, which opens Stripe's billing page. Cancelling stops the next renewal; your licence works until the end of the period you have paid for. Because you can try the software free for 14 days before paying, we do not refund part-used months. This does not affect any right you have under the law, including if the software is not as described. If we refund a payment in full, the subscription is cancelled at the same time and the licence stops at the app's next renewal check.
6. Licence keys and renewal
Your key carries its paid-up date plus a grace period of 7 days. The app renews it from our licence server about once a day while your subscription is paid. If our server cannot be reached, the key keeps working until that date. If the subscription has ended (for example after cancellation takes effect, or a refund), the app stops at its next renewal check, usually within a day, rather than running on to that date. When a key expires or stops the app stays usable for viewing, exporting and deleting your data, but stops creating, generating, scheduling and publishing.
7. Your responsibilities
- You are responsible for everything published from your install, including posts published automatically if you move the autonomy setting above "suggest". Review AI-generated content before it is published; it can be wrong, biased or similar to existing material.
- You must follow the terms of each social platform, AI provider and data service you connect, and the advertising rules that apply to you (in the UK, the CAP Code).
- Personal data you put into Cadencely stays on your computer. You are its controller and responsible for handling it lawfully. We do not process it on your behalf.
- Keep your install, its owner password and your API keys secure. The app is designed to run on one PC; if you expose it to a network, that is at your own risk.
8. Updates and support
New versions are published on the download page and are included in your subscription. Support is by email to info@nikah-ai.com; we aim to reply within 2 business days. We may change or remove features in future versions; if a change materially reduces what you paid for, you may cancel.
9. Our liability
We supply the software with reasonable care and skill. Except as set out in these terms, and to the extent the law allows, it is provided without other warranties. We are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss, or for the acts of social platforms, AI providers or other third-party services. Our total liability to you in any 12-month period is limited to the subscription fees you paid us in that period. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
10. Ending the licence
We may suspend or end your licence if you materially breach these terms, for example by sharing your key publicly or reselling the software, and we will tell you why by email where we can. You may stop using the software at any time.
11. General
We may update these terms; the version in force when you subscribe or renew applies to that period, and we will give notice of material changes by email where we have your address through Stripe. These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
